1. Agreement to Terms

By accessing or using the Informedica platform ("Platform"), operated by Informedica ("Company", "we", "us", or "our"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and the Company regarding your use of the Platform. The Platform provides medical professional networking, skills tracking, credential verification, job listings, and related services.

2. Eligibility and Account Requirements

2.1 Eligibility

To use the Platform, you must:

Be at least 18 years of age;
Have the legal capacity to enter into a binding agreement;
Not be prohibited from using the Platform under applicable laws;
For medical professional features, hold valid credentials as represented.

2.2 Account Registration

You agree to:

Provide accurate, current, and complete information during registration;
Maintain and promptly update your account information;
Maintain the security and confidentiality of your login credentials;
Immediately notify us of any unauthorized access to your account;
Accept responsibility for all activities that occur under your account.

3. Platform Services

3.1 Description of Services

The Platform provides:

Skills Tracking: Record and manage your medical competencies and skills;
Credential Verification: Request and store verified credentials from organizations;
Professional Networking: Connect with other medical professionals;
Job Listings: Post and apply for medical positions;
Courses: Access and complete educational content;
Messaging: Communicate with other users on the Platform.

3.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Platform.

4. User Responsibilities and Conduct

4.1 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

Violate any applicable laws, regulations, or third-party rights;
Submit false, misleading, or fraudulent information;
Impersonate another person or misrepresent your professional credentials;
Harass, abuse, or harm other users;
Upload or transmit viruses, malware, or other harmful code;
Attempt to gain unauthorized access to the Platform or other users' accounts;
Use the Platform for spam, phishing, or other deceptive practices;
Interfere with the proper functioning of the Platform;
Scrape, data mine, or harvest data from the Platform;
Use the Platform for any purpose that is not expressly authorized.

4.2 User Content

You retain ownership of content you submit to the Platform ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and improving the Platform.

You represent and warrant that your User Content does not infringe on any third party's intellectual property rights or other rights.

5. Subscription Plans and Payment Terms

5.1 Free and Paid Services

The Platform offers both free and paid subscription tiers. Certain features are available only to paid subscribers.

5.2 Payment Processing

Payments are processed through Stripe, our third-party payment processor. By making a payment, you also agree to Stripe's terms of service. All amounts are in Philippine Pesos (PHP) unless otherwise specified.

5.3 Subscription Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annually) until cancelled. You authorize us to charge your payment method on file for the applicable subscription fees.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period.

6. Credential Verification Services

6.1 Credential Requests

Users may request credential verification from organizations on the Platform. Organizations may charge fees for verification services, which are subject to our Refund Policy.

6.2 Platform Role

The Platform facilitates credential verification requests but does not independently verify credentials. The issuing organization is solely responsible for the accuracy and validity of verified credentials.

6.3 Platform Commission

The Platform charges a commission on credential verification fees paid through the Platform. Current commission rates are disclosed at the time of transaction.

7. Job Listings and Applications

7.1 Job Posting

Organizations and users with appropriate permissions may post job listings. Job posters are responsible for ensuring listings comply with applicable employment laws and do not contain discriminatory content.

7.2 Job Applications

The Platform facilitates job applications but is not a party to any employment relationship. We do not guarantee job placement or the accuracy of job listings.

7.3 Background Checks

We do not perform background checks on users. Employers are responsible for conducting their own due diligence.

8. Intellectual Property

8.1 Platform Ownership

The Platform, including its design, features, content, and underlying technology, is owned by the Company and protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Platform except for the limited license to use it as described herein.

8.2 Trademarks

"Informedica" and associated logos are trademarks of the Company. You may not use these trademarks without prior written consent.

8.3 Feedback

Any feedback, suggestions, or ideas you provide about the Platform may be used by us without any obligation to compensate you.

9. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

For users in the European Union, we comply with the General Data Protection Regulation (GDPR). For users in the Philippines, we comply with the Data Privacy Act of 2012. For users in the United States, we comply with applicable federal and state privacy laws, including the California Consumer Privacy Act (CCPA) where applicable.

10. Disclaimers

10.1 No Medical Advice

THE PLATFORM DOES NOT PROVIDE MEDICAL ADVICE. Content on the Platform is for informational and educational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment.

10.2 "As Is" Basis

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.3 No Guarantee

We do not guarantee that the Platform will be uninterrupted, secure, or error-free, or that any defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages;
Any loss of profits, revenue, data, or business opportunities;
Any damages arising from your use of or inability to use the Platform;
Any damages arising from unauthorized access to your account or data;
Any damages exceeding the amount you paid to us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

Your access to or use of the Platform;
Your violation of these Terms;
Your violation of any third-party rights;
Your User Content.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us or through your account settings.

13.2 Termination by Us

We may suspend or terminate your account and access to the Platform at any time, with or without cause, including for violation of these Terms. Upon termination, your right to use the Platform will immediately cease.

13.3 Effect of Termination

Upon termination, provisions of these Terms that by their nature should survive will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

14.2 Dispute Resolution Process

Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved within thirty (30) days, either party may pursue resolution through mediation or, if mediation fails, through binding arbitration in accordance with the rules of the Philippine Dispute Resolution Center, Inc.

14.3 Jurisdiction

For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in Greater Philadelphia Area, United States.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and the Company.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 Notices

We may provide notices to you via email, through the Platform, or by other reasonable means. You may provide notices to us at the contact information below.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.
